Terms of Service

1. Acceptance of Terms

By accessing or using transitionfl.com (the "Site") or submitting any information through the Site, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site.

2. About Transition Properties

Transition Properties LLC is a Florida-based real estate investment company that purchases real property directly from owners. We are not a licensed real estate broker, real estate agent, attorney, accountant, financial advisor, mortgage broker, or foreclosure consultant. We do not represent buyers or sellers in real estate transactions in a fiduciary capacity. We are principals — we buy property for our own account or assign our contractual interests to other buyers. See Part B (Real Estate Disclaimer) for more detail.

3. No Professional Advice

Information on the Site is for general informational purposes only and does not constitute legal, financial, tax, accounting, real estate, or investment advice. You should consult independent licensed professionals before making any decision regarding your property, financial situation, or legal rights.

4. Property Inquiries and Offers

When you submit information about your property:

  • You represent that you are the legal owner or authorized to act on the owner's behalf
  • You consent to be contacted by phone, SMS, and email at the contact information you provide
  • Any offer we present is non-binding until reduced to a written, signed purchase and sale agreement
  • We may use third-party data sources (public records, valuation tools, skip tracing) to evaluate properties
  • You may withdraw from negotiations at any time prior to contract execution

5. Consent to Communications

By submitting your information through the Site or providing your phone number to Transition Properties, you expressly consent to receive telephone calls (including from automated and click-to-dial systems where applicable), text messages (SMS/MMS), emails, and direct mail regarding your property and our potential purchase. Consent is not a condition of any purchase. You may revoke consent at any time by replying STOP to messages, asking to be removed during a call, or contacting us at info@transitionfl.com. 6. No Guarantees

We do not guarantee:

  • That we will make an offer on your property
  • That our offer will match your asking price or any third-party valuation
  • That a transaction will close
  • Specific timelines, prices, or outcomes

7. Intellectual Property

All content on the Site (logos, text, images, design) is the property of Transition Properties LLC or its licensors and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our written permission.

8. Prohibited Use

You may not use the Site for any unlawful purpose, submit false or misleading information, attempt to interfere with the Site's operation, use automated tools (bots, scrapers) to access the Site without permission, or copy, scrape, or harvest content from the Site.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRANSITION PROPERTIES LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR INTERACTIONS WITH US. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED $100.

11. Indemnification

You agree to indemnify and hold harmless Transition Properties LLC from any claims, damages, or expenses arising from your violation of these Terms or your use of the Site.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Lee County, Florida, and you consent to personal jurisdiction in those courts.

Before filing any lawsuit, you agree to first contact us in writing at info@transitionfl.com and attempt to resolve the dispute informally for at least 30 days.

13. Severability and Changes

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. We may modify these Terms at any time. Continued use of the Site after changes constitutes acceptance of the modified Terms.

Real Estate Disclaimer

1. Important Notice — Read Before Engaging

This section sets out important disclosures about how Transition Properties operates as a real estate investment company. Please read it carefully before signing any agreement with us.

2. Not a Licensed Real Estate Broker or Agent

Transition Properties LLC and its principals are not licensed real estate brokers, sales associates, or agents in the State of Florida. We are real estate investors and principals. We are NOT acting as your agent, broker, or fiduciary. We do not represent your interests in any transaction. We are buyers acting in our own interest.

If you want representation, you should hire a licensed real estate agent, broker, or attorney to represent you.

3. Not Legal, Tax, Financial, or Foreclosure Counseling

Nothing on this Site, in our communications, or during our discussions constitutes:

  • Legal advice
  • Tax advice
  • Financial advice
  • Investment advice
  • Foreclosure counseling or loan modification advice
  • Real estate brokerage services

4. Wholesaling and Contract Assignment

Important. Transition Properties may operate as a real estate wholesaler. This means we may:
  1. Enter a purchase and sale agreement with you to acquire your property
  2. Hold an equitable interest in your property via that contract
  3. Assign our contractual interest to a third-party end buyer prior to closing
  4. Receive an assignment fee or profit from that transfer
  5. Have the end buyer (rather than us) close on the purchase

The price we agree to pay you may differ from the price the end buyer pays us for the assignment. By entering a purchase agreement with us, you acknowledge and consent to this practice.

This is legal in Florida and is a recognized real estate practice. You retain the right to:

  • Have an independent attorney review any contract before signing
  • Negotiate the terms of any agreement
  • Decline to sign any contract for any reason
  • Cancel or rescind contracts as permitted by law

5. No Guaranteed Outcomes

We do not guarantee that we will make an offer, that an offer will match your asking price or any market valuation, that a transaction will close successfully, a specific timeline for closing, or any particular price, terms, or outcome.

Our offers are based on our independent analysis of the property, market conditions, and our investment criteria. Offers are non-binding until a written purchase and sale agreement is signed by both parties.

6. Florida Foreclosure Disclosure

If your property is in foreclosure or you are facing financial hardship, please understand:

  • We are NOT a foreclosure rescue service
  • We do NOT offer loan modifications, forbearance agreements, or "save your home" services
  • We do NOT charge upfront fees for any services
  • We may offer to purchase your property at a price we determine — that is the only service we provide

You have rights under Florida law regarding foreclosure-related transactions, including potential rights of rescission under Florida Statute § 501.1377 (Foreclosure Rescue Fraud Prevention Act). We strongly encourage you to consult a Florida attorney before signing any document affecting your property if you are in foreclosure or pre-foreclosure.

7. "As-Is" Purchases

Properties we purchase are typically acquired "as-is" with no warranties or representations as to condition. You are responsible for accurate disclosure of material defects per Florida law (Johnson v. Davis doctrine and Florida Statute § 689.302 flood disclosure, among others).

9. Property Information Sources

We may obtain information about your property from public records (deed records, tax assessments, court filings), skip-trace and data services, Multiple Listing Services (where authorized), and direct conversations with you or your representatives. We make reasonable efforts to verify information but do not guarantee accuracy. You are encouraged to verify all property data independently.
